1. Introduction
These Terms & Conditions govern the sourcing, procurement, and advisory services provided by Saigon Sourcing to its clients. By engaging our services — whether through a signed proposal, service agreement, or written instruction — you acknowledge and accept these terms in full.
Saigon Sourcing is a Vietnam-based sourcing agency with on-the-ground operations in Ho Chi Minh City and active supplier networks across key manufacturing regions including the Southeast, Central Highlands, and Northern industrial corridors of Vietnam. Our role is to act as an informed intermediary between international buyers and Vietnamese manufacturers — bridging language, culture, process, and compliance.
2. Scope of Services
Depending on the engagement, our services may include one or more of the following:
- Supplier identification and matching within our vetted Vietnamese manufacturer network
- Factory visits, audits, and operational due diligence conducted in-country
- Quotation collection, cost benchmarking, and negotiation support with Vietnamese suppliers
- Product development guidance and sampling coordination, including Vietnamese-language communication with factories
- Pre-shipment quality control inspections and third-party inspection coordination
- Production monitoring and milestone reporting
- Export documentation support and liaison with freight forwarders
- Ongoing supplier relationship management on the client's behalf
Unless expressly agreed in writing, Saigon Sourcing does not take title to goods, act as importer or exporter of record, or assume liability for supplier production outcomes.
3. Client Responsibilities
To ensure a productive engagement, clients are expected to:
- Provide complete, accurate, and timely product specifications, technical drawings, and quality standards prior to supplier outreach
- Review all submitted samples, quotations, and supplier profiles within agreed timelines
- Ensure full compliance with import, customs, and product safety regulations applicable in their destination market
- Adhere to payment schedules agreed with suppliers and, where applicable, with Saigon Sourcing
- Communicate any changes to specifications, timelines, or order volumes promptly and in writing
4. Supplier Relationships
Saigon Sourcing conducts supplier screening using a combination of factory visits, trade record verification, and reference checks within our established Vietnamese manufacturer network. However, all final purchasing and contracting decisions rest solely with the client.
Purchase contracts and supplier agreements are typically entered into directly between the client and the manufacturer. Saigon Sourcing may facilitate these negotiations but does not assume contractual liability for supplier performance unless expressly stated in a separate written agreement.
5. Quality Control & Inspections
Inspection reports prepared by Saigon Sourcing or coordinated third-party inspectors reflect conditions observed at the time of inspection only. They do not constitute a guarantee of product conformity across an entire production run, nor a warranty of future product performance or durability. Clients are encouraged to define clear acceptance criteria prior to production commencement.
6. Intellectual Property & Confidentiality
All product specifications, technical designs, pricing information, supplier identities, and business strategies shared between Saigon Sourcing and its clients are treated as strictly confidential. Neither party shall disclose such information to third parties without prior written consent, except where required by applicable law.
7. Limitation of Liability
Saigon Sourcing's liability is limited to the service fees paid by the client for the relevant engagement. We shall not be held responsible for indirect or consequential losses, supplier production failures, defective goods, shipping delays, customs detentions, regulatory non-compliance in the client's market, or events beyond our reasonable control including natural disasters, labour disputes, or changes in Vietnamese export regulations.
8. Fees & Payment Terms
Service fees, payment milestones, and any retainer or commission structures shall be agreed separately in a written proposal or service agreement prior to engagement commencement. Saigon Sourcing reserves the right to pause active work in the event of outstanding invoices beyond agreed payment terms.
9. Governing Law & Jurisdiction
These Terms & Conditions are governed by and shall be construed in accordance with the laws of the Socialist Republic of Vietnam. Any disputes arising from or related to these terms shall be subject to the exclusive jurisdiction of the competent courts of Ho Chi Minh City, Vietnam.
